Terry, as long as the thing is close to your body it won't get so cold as to not be operational...unless of course you're dead.
Even if you keep it in a pocket, the heat generated by your body will be enough to keep the altimeter well above the freezing range of the liquids inside it. If you wear it as a watch, it will definitely be okay. The other big issue is how accurate it is as you change altitude. I haven't used one, but I've had a few friends who said theirs were not even close to accurate if you changed altitude more than 1000 vertical feet.
